"The Directors do have the ability and power to have meaningful input and set policy. Unfortunately, many of the Directors are misguided and rely too heavily on the opinions of the CEO. When in fact, the CEO is supposed to report to them as if they were his boss(es)."

The BC SPCA Board of Directors IS the boss of the CEO. Their actions, or lack thereof appear to indicate they haven't figured this out themselves, or else they've chosen to do very little work on behalf of the animals themselves. Why else would they have given such absolute power to the CEO?
